These terms govern the itsallauto eWOF Referral Programme, operated by itsallauto.com (referred to as “itsallauto” in these terms). By taking part, you agree to them. All amounts are in New Zealand dollars and exclude GST.

1. The offer

1.1 When an itsallauto account holder (the Referrer) refers a new garage (the Referred Garage) that starts an eWOF trial with itsallauto:

(a) the Referred Garage receives a one-month free live trial of the eWOF system, instead of the standard one-week trial; and

(b) if the referral is accepted under these terms, the Referrer earns up to $1,000 of eWOF credit, which accrues as the Referred Garage is charged for eWOF inspections.

1.2 The free trial month runs from the moment the Referred Garage starts their trial, ending on the same date of the following month (or the last day of that month if there is none).

1.3 The free month does not depend on the referral being accepted: a Referred Garage that names a Referrer in good faith keeps it even if the referral is declined.

1.4 Credit is applied as a discount to eWOF inspection charges before GST is calculated.

1.5 The programme applies to referrals accepted on or after 4 August 2026.

2. Who can refer

2.1 The Referrer must hold an itsallauto eWOF account — live or demo — when the referral is accepted. Demo accounts are free, and stay free indefinitely.

2.2 There is no limit on the number of garages a Referrer may refer. Each successful referral carries its own separate $1,000 credit cap.

3. Who counts as a new garage

3.1 The Referred Garage must be a genuine, independently operated vehicle inspection organisation holding its own MS (inspecting organisation authority) number, verified by itsallauto when the trial starts.

3.2 The Referred Garage’s MS number must not have been registered on itsallauto before. Re-registrations, name changes, or new accounts for an existing or previous customer do not qualify, except where clause 5.3 applies.

3.3 Self-referrals do not qualify. A referral may be declined where the Referrer and the Referred Garage are connected — including, but not limited to, a shared MS number, common ownership (directly or through family members, trusts, or related companies), common directors, the same premises, or the same administrator account.

4. Naming the referrer

4.1 The Referred Garage is asked who referred them as part of starting their trial. This is the only opportunity to name a Referrer: there is one Referrer per Referred Garage, and the choice cannot be changed afterwards, except where itsallauto corrects an obvious error.

4.2 A garage that was not referred chooses a different option. Naming a garage that did not in fact refer you is a breach of clause 7.

4.3 A referral is accepted when the trial starts, once itsallauto has verified that the named Referrer holds an itsallauto account (live or demo) and that the Referred Garage meets clause 3. Acceptance is the point from which credit accrues, and the point at which these terms are fixed for that referral under clause 8.1.

5. How the credit is earned

5.1 Credit accrues at 50% of the Referred Garage’s eWOF inspection charges (excluding GST) in the itsallauto system, as those charges are invoiced, until the Referrer’s credit for that referral reaches — and never exceeds — the $1,000 credit cap.

5.2 Credit does not accrue on charges covered by the free trial month, or on other itsallauto charges such as hardware or support. If a charge that generated credit is later refunded or written off, the matching credit is reversed — including credit already applied, which may be re-invoiced — and accrual resumes if the reversal takes the total back below the cap. Accrual is always calculated on the Referred Garage’s eWOF inspection charges before any credit is applied to their invoice: if the Referred Garage has earned referral credit of its own by referring another garage, spending it does not reduce what their own Referrer accrues.

5.3 A referral ends permanently when the Referrer’s or the Referred Garage’s account closes, or when the $1,000 credit cap is reached. An ended referral never resumes — including where an account is later re-opened or the same MS number registered again, except that accrual resumes under clause 5.2 if a reversal takes the total back below the cap. If the Referred Garage’s account lapses or closes without any invoice ever having been paid, the referral is void and that MS number is treated as never having been registered for the purposes of clause 3.2. A garage referred again after a void referral does not receive a second free month — the standard trial applies — but the new referral’s credit accrues as normal.

6. How the credit is used

6.1 Credit is automatically applied against the Referrer’s eWOF inspection charges on their next invoice or invoices after it accrues. No claim or code is needed.

6.2 Credit has no cash value. It cannot be paid out, refunded, transferred to another account, or applied to anything other than eWOF inspection charges.

6.3 Accrued credit does not expire. If credit cannot be applied because the Referrer has overdue invoices, it is held — not lost — and is applied once the account returns to good standing.

6.4 Credit is forfeited only if the Referrer’s account is closed, if itsallauto terminates it for breach of these terms or of the itsallauto terms of service, or as provided in clause 7. On closure, credit is first applied to any eWOF inspection charges on the final invoice; only the remainder is forfeited.

6.5 Credit belongs to the Referrer’s itsallauto account, not to any particular owner of the business: if the business changes hands with the account intact, accrued credit and ongoing accrual continue with the account.

6.6 If the Referrer and a Referred Garage come under common ownership after a referral is accepted, accrual for that referral ends. Credit already earned is kept.

7. Fair play

7.1 Inspections must be genuine. Any arrangement to inflate inspection volumes, misuse inspections run in the demo system, or otherwise game the programme forfeits all accrued and future credit for the accounts involved, and may result in account suspension. Where credit has already been applied to an invoice, itsallauto may reverse it and re-invoice the amount. A free month obtained by falsely naming a Referrer may be revoked and the inspections carried out during it invoiced.

7.2 itsallauto will tell the Referrer which garage they referred and how much credit that referral has earned. No other information about the Referred Garage’s account is shared. Both parties accept that the Referrer will be able to infer the Referred Garage’s general level of usage from their credit accrual. Any personal information collected in connection with the programme is handled in accordance with the Privacy Act 2020 and the itsallauto privacy policy.

8. General

8.1 The programme runs open-ended. itsallauto may change these terms, or close the programme to new referrals, at any time by publishing updated terms. A change applies only to referrals accepted after it is published — except for a change required by law, which may apply immediately to all referrals. For referrals already accepted:

(a) they continue under the terms that applied when they were accepted;

(b) closing the programme stops new referrals only — referrals already accepted keep accruing towards their $1,000 credit cap as though the programme were still running; and

(c) credit already accrued is honoured, unless reversed under clause 5.2 or clause 7.

8.2 Participants are responsible for their own tax treatment of referral credit.

8.3 These terms sit alongside the itsallauto standard terms of service. Where the two conflict on referral credit, these terms apply.

8.4 These terms and the itsallauto terms of service are the entire agreement about the programme. No participant relies on any other representation about the programme.

8.5 If itsallauto does not enforce a right under these terms, it has not waived that right and may enforce it later.

8.6 itsallauto may assign or transfer its rights and obligations under these terms, including as part of a sale of its business. Participants may not assign theirs; clause 6.5 governs what happens when a participant’s business changes hands.

8.7 Referrers are not agents, partners, or representatives of itsallauto and cannot make commitments on its behalf. itsallauto is not bound by anything a Referrer tells a Referred Garage about the programme or the eWOF system.

9. Disputes

9.1 itsallauto’s system records are the authoritative record of referrals, inspections, invoices, and credit accrued, applied, or reversed, and are conclusive in any dispute except where an obvious error is shown.

9.2 Any dispute about the programme must be raised with itsallauto in writing within 30 days of the invoice or credit statement showing the matter, or notice of the decision, being issued to the disputing party. A dispute not raised within that time is waived. itsallauto will respond within 10 working days.

9.3 Programme decisions — including eligibility, connectedness under clause 3.3, referrer naming, and credit accrual — are made by itsallauto, acting reasonably on the information available to it at the time, and are final, subject to your rights at law.

9.4 A dispute does not suspend payment: invoices remain payable on their normal terms while a dispute is being resolved. If a dispute is resolved in the Referrer’s favour, the correction is applied as credit to the next invoice.

9.5 Neither party may begin court proceedings (except for urgent relief) before the dispute has been through clause 9.2 and, if still unresolved, a mediation in New Zealand with costs shared equally.

9.6 itsallauto’s total liability in connection with the programme — in contract, tort, or otherwise — is limited to $1,000 for each referral concerned. Neither party is liable to the other for loss of profits or any indirect or consequential loss.

9.7 Both parties are in trade and agree that the Consumer Guarantees Act 1993 does not apply, and that it is fair and reasonable to contract out of sections 9, 12A and 13 of the Fair Trading Act 1986 to the extent the law permits.

9.8 These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction.

10. Severability

10.1 If any provision of these terms and conditions is found to be invalid, unlawful, or unenforceable (in whole or in part), that provision will be severed to the extent necessary and the remaining provisions will remain in full force and effect.
